BANYAN GO – TERMS OF SERVICE

Welcome to Banyan Go. Please read these Terms of Service (the "Terms" or "Agreement") carefully. This is a binding legal contract between you ("User" or "you") and Blue Banyan LLC, a Texas limited liability company, including its parents, subsidiaries, founders, and affiliates ("Blue Banyan," "we," "us," or "our").
By downloading, installing, accessing, or using the Banyan Go mobile application on an iOS device (the "App") or any associated services, you explicitly agree to be bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from downloading, installing, or using the App.
1. NATURE OF THE SERVICE & USER AUTONOMY
Banyan Go is a mobile-based social networking utility designed to facilitate "hyper-tasking" communications through proprietary task-routing logic. The App functions strictly as a peer-to-peer (P2P) pipeline that allows users to broadcast or route outbound tasks to their network ("Pushing" or "Pushed Tasks") and accept or ingest inbound tasks from other users ("Grafting" or "Grafted Tasks").
No Facilitation or Guarantee: Blue Banyan merely visualizes and transmits task communication metadata. Blue Banyan does not perform, manage, fulfill, control, or vet any Pushed or Grafted Tasks.
User Discretion: The decision to Push a task to your network or Graft a task onto your schedule is entirely autonomous, voluntary, and performed at your sole, absolute risk.
No Vetting or Quality Assurance: Blue Banyan does not verify the identity, safety, background, credentials, capability, legality, truthfulness, or fitness of any user, nor does it guarantee the accuracy, completion, or quality of any Pushed or Grafted Task.
2. SUBSCRIPTIONS, PAYMENTS, AND ADVERTISING
Banyan Go operates on a freemium and tiered subscription model. By selecting a tier, you agree to the associated fees and features:
Banyan Base: Free of charge. This tier includes mandatory advertising.
Banyan Base+: $1.99 per month.
Banyan Pro: $3.99 per month.
Banyan Corporate: Custom group rates negotiated under separate order forms.
Right to Modify Pricing: Blue Banyan reserves the absolute right to modify, increase, or restructure the pricing of any subscription tier at any time, at its sole discretion, upon reasonable notice to users.
Advertising Activation: While advertising may not be actively displayed upon the App's initial launch, Blue Banyan explicitly reserves the unilateral right to activate, inject, and display third-party advertising within the Banyan Base tier at any time, without prior notice or user consent. Upgrading to a paid tier is the sole remedy for users who wish to remove advertisements.
3. COMPLETE DISCLAIMER OF AGENCY AND EMPLOYMENT
No business relationship is created through your use of the App.
Independent Parties: You explicitly acknowledge and agree that no employment, independent contractor, agency, partnership, joint venture, or franchise relationship is established between you and Blue Banyan, or between you and any other user of the App.
No Compensation: Blue Banyan does not pay wages, provide benefits, or dictate the terms, locations, timings, or methods of how Pushed or Grafted Tasks are handled.
4. USER-GENERATED CONTENT & ZERO-TOLERANCE CONDUCT RULES
All task names, text, dates, coordinates, and communications Pushed or Grafted through the App constitute User-Generated Content ("UGC"). You are solely responsible for your UGC.
We enforce a zero-tolerance policy for platform misuse. You strictly agree not to use Banyan Go to:
Push or Graft tasks involving illegal activities, controlled substances, unregulated commercial services, or physical danger.
Harass, stalk, abuse, defame, spam, or threaten any other user or third party.
Distribute malicious code, automated bots, or scrape data from the App's hyper-tasking interface.
Unilateral Enforcement: Blue Banyan reserves the absolute right to monitor, audit, flag, modify, or permanently delete any task threads or user accounts that we deem, in our sole discretion, to violate these Terms.
5. INTELLECTUAL PROPERTY & USER LICENSE GRANT
Blue Banyan Ownership: Blue Banyan retains all right, title, and interest in and to the App, including but not limited to the user interface design, proprietary tasking architecture, outbound/inbound "Push/Graft" routing engines, software code, algorithms, and all trademarks and branding.
Your License to the App: Subject to your compliance with these Terms, Blue Banyan grants you a limited, non-exclusive, non-transferable, revocable license to download and execute the App on an authorized iOS device.
Your Grant to Blue Banyan: By creating tasks, you grant Blue Banyan a worldwide, royalty-free, sublicensable, perpetual license to host, store, cache, reproduce, transmit, modify, and display your task data solely as required to operate the App.
6. DISCLAIMER OF WARRANTIES & STRICT LIMITATION OF LIABILITY
PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS THE FINANCIAL AND LEGAL LIABILITY OF BLUE BANYAN LLC.
AS-IS BASIS: THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BLUE BANYAN DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
EXCLUSION OF DOWNTIME LIABILITY: UNDER NO CIRCUMSTANCES SHALL BLUE BANYAN BE HELD MONETARILY RESPONSIBLE OR LIABLE FOR ANY UNPERFORMED TASKS, MISSED DEADLINES, LOST WAGES, OR FINANCIAL DAMAGES RESULTING FROM THE APP BEING UNAVAILABLE FOR USE DUE TO SERVER DOWNTIME, MAINTENANCE, BUGS, OUTAGES, OR TERMINATION OF SERVICE. YOU AGREE NOT TO RELY ON BANYAN GO FOR CRITICAL, TIME-SENSITIVE, OR FINANCIALLY MATERIAL TASKS.
EXCLUSION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE BANYAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF APP MISUSE, PHYSICAL INJURIES, PROPERTY DAMAGE, OR REAL-WORLD DISPUTES BETWEEN USERS.
LIABILITY CAP: IN NO EVENT SHALL BLUE BANYAN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED ONE HUNDRED DOLLARS ($100.00 USD) OR THE TOTAL FEES PAID BY YOU TO BLUE BANYAN IN THE PRECEDING SIX (6) MONTHS, WHICHEVER IS LESS.
7. APPLE-MANDATED IOS APPLICATION PROVISIONS
Party Acknowledgement: This Agreement is concluded solely between you and Blue Banyan, not with Apple. Blue Banyan, not Apple, is solely responsible for the App and its content.
Maintenance and Support: Blue Banyan is solely responsible for providing maintenance and support services. Apple has no obligation whatsoever to furnish any maintenance and support services.
Third-Party Beneficiary: Apple and Apple’s subsidiaries are third-party beneficiaries of this Agreement and possess the right to enforce these Terms against you.
8. DISPUTE RESOLUTION & MANDATORY BINDING ARBITRATION
Governing Law: These Terms and any dispute arising out of your use of Banyan Go shall be governed by the laws of the State of Texas, without regard to choice of law provisions.
Mandatory Arbitration: Any dispute or claim shall be settled exclusively by binding, individual arbitration administered by the American Arbitration Association (AAA). The place of arbitration shall be Houston, Texas, unless otherwise mutually agreed.
Class Action Waiver: YOU AND BLUE BANYAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Blue Banyan LLC ("we," "us," or "our") is committed to protecting your privacy while enabling efficient, hyper-tasking network communications. This Privacy Policy outlines our data practices for the Banyan Go iOS mobile application (the "App").
1. CATEGORIES OF DATA WE COLLECT
To successfully operate the App’s P2P routing mechanisms and commercial features, we collect:
Account & Profile Information: Your name, email address, phone number, and subscription payment details.
Social & Network Connections: The contact graphs you establish to configure who can view your Pushed Tasks or send you Grafted Tasks.
Task-Specific Transactional Metadata: The text content, timestamps, and routing paths associated with outbound ("Pushed") and inbound ("Grafted") tasks.
Device & Technical Telemetry: Device hardware model, iOS operating system version, push notification tokens, and application crash logs.
2. HOW WE UTILIZE YOUR DATA
We process your data to execute the core technical functionalities of Banyan Go:
Dynamic Task Routing & Synchronization: Processing the logic required to accurately transmit a Pushed Task and display inbound Grafted Tasks across your social matrix.
Platform Health & Billing: Monitoring app performance and processing recurring subscription fees for Base+, Pro, and Corporate tiers.
Advertising Delivery: If you utilize the free Banyan Base tier, we reserve the right to utilize anonymized device identifiers and generalized profile data to deliver targeted third-party advertising, once activated by our team.
3. THIRD-PARTY DISCLOSURES & CLOUD ARCHITECTURE
No Commercial Data Selling: Blue Banyan does not sell your personal profile data, social connections, or transactional task histories to third-party data brokers.
Essential Service Providers & Ad Networks: We securely share minimized data packets with trusted third-party infrastructure vendors (cloud hosting, push deliverability) and, upon activation, integrated advertising network partners solely to support operational stability and the ad-supported Base tier.
Legal Compulsion: We may disclose data if explicitly required to do so by a court of competent jurisdiction or to protect the safety of our users.
4. DATA SECURITY & RETENTION LIMITS
Security Safeguards: We employ industry-standard encryption and access controls to shield your data.
Operational Retention: Task data is retained only for as long as necessary to fulfill the social networking features of your active account or to satisfy legitimate business archival and legal obligations.
5. USER CONTROLS, ACCESS, AND DELETION RIGHTS
You maintain the following rights, accessible directly within the App’s interface:
Modification: You can edit your profile, subscription tier, and network connection permissions at any time.
Account Deletion: You may permanently delete your Banyan Go account through the iOS interface, which will wipe your identity mapping from active production databases.
Task Cleansing: You have the ability to purge specific historical task threads that you have Pushed or Grafted from your dashboard.
